1. Agreement to Terms
By accessing or using Lucenture AI ("Service", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.
These Terms and Conditions govern your use of our services including Website design & Hosting, AI Automations, systems consultation, SaaS solutions, and SMS text messaging communications.
Age Requirement: You must be at least 18 years of age to access or use the Service. By using Lucenture AI, you represent and warrant that you are 18 years old or older.
No Long-Term Contract: This agreement does not lock you into any long-term commitment. You may cancel your subscription at any time as outlined in Section 14. However, upon cancellation, all assets and services we created for you (including websites, automations, integrations, and custom configurations) remain our property unless you purchase them separately through our buyout program as described in Section 14.4.
2. Description of Service
Lucenture AI provides artificial intelligence-powered services including Website design & Hosting, AI Automations, systems consultation, SaaS solutions, and SMS text messaging communications for appointment management, service notifications, and marketing purposes.
The Service is provided on an "as is" and "as available" basis. You acknowledge that the Service utilizes emerging technology and may be in a 'Beta' or 'Trial' phase. We do not guarantee that the Service will be error-free or that any specific automation will function without interruption.
Service Fulfillment: Upon payment, we begin a 14-day fulfillment process to design, develop, and deploy your website, automations, and systems. During this period, we work with you to implement and configure your services. Access to completed services is granted upon successful deployment.
SMS messaging services are provided in compliance with Canadian Radio-television and Telecommunications Commission (CRTC) regulations, Canada's Anti-Spam Legislation (CASL), and the Telephone Consumer Protection Act (TCPA) for US recipients.
3. User Accounts
3.1 Registration
To access certain features, you may be required to create an account. You must provide accurate, current, and complete information during registration and keep your account information updated. This includes providing a valid email address and, if you opt in to SMS communications, a valid mobile phone number.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at [email protected].
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, violation of SMS messaging policies, or for any other reason at our sole discretion. Upon termination, your SMS consent will be automatically revoked and you will be opted out of all messaging.
You may cancel your subscription at any time as outlined in Section 14.1. Upon cancellation, all created assets revert to Lucenture AI unless purchased through our buyout program.
4. SMS Text Messaging Terms
4.1 SMS Consent and Enrollment
By providing your mobile phone number and checking one or both SMS consent checkboxes on our website forms at https://lucenture.ca/chat-with-us, you expressly consent to receive SMS text messages from Lucenture AI.
You may opt in to two separate types of SMS communications:
Transactional SMS Messages: Appointment confirmations, appointment reminders, inquiry responses, order status updates, and service-related notifications. Frequency: 2-5 messages per month based on your appointment and service activity.
Marketing SMS Messages: New service announcements, promotional offers (maximum 2 per month), educational content, and product updates. Frequency: Maximum 4 messages per month.
Both consent types are optional and require you to actively check separate checkboxes that are unchecked by default. You may consent to one, both, or neither type of SMS communication.
No Contract Required: SMS consent does not create any contractual obligation. You may opt out at any time without penalty as outlined in Section 4.4.
4.2 SMS Message Frequency and Timing
Message frequency varies based on your account activity and the consent types you selected:
- Transactional messages: 2-5 per month, sent in response to appointments or service requests
- Marketing messages: Maximum 4 per month, sent during business hours (9 AM - 8 PM local time)
We do not send SMS messages outside of reasonable hours unless related to urgent appointment changes or time-sensitive service issues.
4.3 SMS Costs and Carrier Charges
Standard message and data rates may apply based on your mobile carrier's wireless plan. Lucenture AI does not charge you any fees for sending or receiving text messages. Your mobile carrier may charge you for incoming and outgoing messages according to your plan. Check with your carrier about text messaging rates before opting in.
4.4 SMS Opt-Out Rights
You may opt out of SMS messages at any time, for any reason, without penalty or cancellation fees using any of the following methods:
Method 1 - Reply STOP: Reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any text message from Lucenture AI for immediate opt-out.
Method 2 - Email: Send an email to [email protected] with the subject line "SMS Opt-Out" and include the mobile phone number you wish to opt out.
Method 3 - Account Settings: Log into your account and update your communication preferences to disable SMS notifications.
After opting out:
- You will receive one final confirmation message
- No further SMS messages will be sent to your number
- Your opt-out is permanent unless you explicitly opt in again
- Opting out of one message type (transactional or marketing) does not automatically opt you out of the other
- There are no penalties, fees, or adverse consequences for opting out
Opting out of SMS does not affect your ability to use other services or receive email communications.
4.5 SMS Help and Support
For SMS assistance:
- Reply HELP to any text message for immediate assistance

- Visit lucenture.ca for support resources
When you text HELP, you will receive our contact information and opt-out instructions.
4.6 SMS Acceptable Use
You agree not to:
- Use SMS for any illegal, fraudulent, or harmful purposes
- Reply with abusive, harassing, or threatening messages
- Attempt to exploit or manipulate our SMS systems
- Forward or share messages in ways that violate our intellectual property rights
- Use automated systems to interact with our SMS platform
We reserve the right to immediately terminate SMS service for violations of these policies.
4.7 SMS Service Availability
SMS service availability depends on:
- Your mobile carrier's network coverage and service
- Proper functioning of third-party SMS service providers
- Compliance with telecommunications regulations
- Technical infrastructure and system maintenance
We do not guarantee uninterrupted SMS delivery. Messages may be delayed or fail to deliver due to carrier issues, network congestion, device limitations, or other technical factors beyond our control.
4.8 SMS Compliance and Legal Requirements
Our SMS messaging complies with:
- Canadian Radio-television and Telecommunications Commission (CRTC) regulations
- Canada's Anti-Spam Legislation (CASL)
- Personal Information Protection and Electronic Documents Act (PIPEDA)
- Telephone Consumer Protection Act (TCPA) for US recipients
- Cellular Telecommunications Industry Association (CTIA) guidelines
- Campaign Registry (TCR) standards for A2P messaging
- Carrier-specific messaging policies
We maintain records of all opt-in consents, message content, delivery confirmations, and opt-out requests for compliance purposes.
4.9 SMS Privacy and Data Protection
SMS data handling is governed by our Privacy Policy (Section 14 - SMS Text Messaging). Your mobile phone number:
- Is stored securely with encryption
- Is never sold to third parties
- Is used only for purposes you consented to
- Is retained for 90 days after opt-out, then permanently deleted
- May be shared with SMS service providers solely for message delivery

5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations including telecommunications laws
- Infringe upon intellectual property rights of others
- Generate harmful, illegal, or malicious content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service, SMS systems, or servers
- Harass, abuse, or harm other users
- Use the Service for any automated or high-volume access without permission
- Reverse engineer or attempt to extract source code from our AI models
- Send unsolicited messages or spam through any communication channel
- Violate CASL, TCPA, or other anti-spam regulations
- Impersonate Lucenture AI or misrepresent your relationship with us
- Share your account credentials with unauthorized parties
6. Intellectual Property Rights and Asset Ownership
6.1 Our Property
The Service, including all content, features, functionality, customized AI Agents, SMS message templates, and proprietary technology, is owned by Lucenture AI and is protected by copyright, trademark, and other intellectual property laws.
Websites, Automations, and Custom Services: All websites, AI automations, integrations, custom configurations, designs, code, and systems we create for you as part of your subscription remain the intellectual property of Lucenture AI. You receive a license to use these assets during your active subscription period only.
6.2 User Content
You retain ownership of any content you input into the Service ("Input"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your Input solely to provide and improve the Service.
For SMS communications, you grant us permission to send your Input content (such as appointment details) via text message according to your consent preferences.
6.3 Generated Content
Content generated by our AI ("Output") is owned by you, subject to the following:
Your Ownership: You own all rights to the Output you generate using our Service, to the extent permitted by applicable law.
Copyright Limitations: Please note that purely AI-generated content may not be eligible for copyright protection under current law. Copyright protection may only apply to portions of the Output that include substantial human creativity, modification, or arrangement.
Our Rights: We retain all rights to our underlying AI technology, models, algorithms, SMS messaging infrastructure, and any custom systems, websites, or automations we create for you. Your ownership of Output does not grant you any rights to our AI systems, telecommunications infrastructure, or custom-built assets.
License to Us: You grant us a limited license to use your Output solely for:
- Providing and maintaining the Service
- Improving our AI models and services (you can opt-out in settings)
- Complying with legal obligations including telecommunications regulations
- Maintaining SMS message logs for compliance purposes
Responsibility: You are solely responsible for your use of the Output and must ensure it complies with all applicable laws and does not infringe third-party rights.
6.4 Domain Names
Domain names registered on your behalf through our Service remain registered in your name. However, if we manage the domain on your behalf:
- You retain ownership of the domain registration
- We maintain administrative access during your active subscription
- Upon cancellation, domain transfer services are available for a separate one-time fee as outlined in Section 14.4
- If you do not purchase domain transfer services, we will release administrative access but cannot guarantee continuity of DNS settings or hosting
7. Payment and Subscription Terms
7.1 Fees
All fees are stated in Canadian Dollars (CAD) unless otherwise specified. Payment is required before we begin the 14-day fulfillment process for your services.
14-Day Fulfillment Period: After payment is received, we begin designing, developing, and deploying your website, automations, and systems. This process typically takes up to 14 business days. During this period:
- We work with you to gather requirements and preferences
- We build and configure your custom services
- We test and deploy your solutions
- You receive access upon successful completion
No Long-Term Payment Obligations: You are not locked into any long-term payment commitments beyond the initial service setup. You may cancel your subscription at any time as outlined in Section 7.2 and Section 14.1.
General Refund Policy
Fees are generally non-refundable after the 14-day fulfillment process has begun and services have been delivered. However, Lucenture AI may, at its sole discretion, offer a refund or credit if a technical error on our part prevented the delivery of service within the 14-day fulfillment period.
Mandatory Refunds (Distance Sales)
In accordance with BC's Business Practices and Consumer Protection Act, you are entitled to cancel your online purchase and receive a full refund if:
- Services are not delivered within 30 days of the estimated delivery date (or 30 days from purchase if no date was provided)
- You did not receive a copy of your contract within 15 days of purchase
- Your contract is missing required information (7-day cancellation period applies)
Refunds for distance sales cancellations will be processed within 15 days of receiving your cancellation notice to the original payment method.
SMS Service Fees
SMS messaging services are included in your subscription or service package. We do not charge separate fees for text messages beyond your standard service fees. However, your mobile carrier may charge message and data rates.
7.2 Subscription Plans and Cancellation Freedom
If you purchase a subscription, it will automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive email notification at least 7 days before automatic renewal.
Cancel Anytime:
- You may cancel your subscription at any time without cancellation fees or early termination penalties
- Cancellation takes effect at the end of your current billing period
- You retain access to services until the end of the billing period you've paid for
- Simply cancel through your account settings or by emailing [email protected]
- After cancellation, you will not be charged for subsequent billing periods
Important - Asset Ownership Upon Cancellation: When you cancel your subscription, all websites, AI automations, integrations, custom configurations, and systems we created for you remain the property of Lucenture AI. Your access to these assets will be terminated. See Section 14.4 for information about purchasing your assets through our buyout program.
Cancellation of your subscription does not automatically opt you out of SMS communications. You must separately opt out of SMS using the methods described in Section 4.4.
7.3 Price Changes
We reserve the right to modify our pricing with 30 days' advance notice to existing subscribers via email and, if you've opted in, via SMS notification.
Price changes do not apply retroactively and will only affect renewals after the notice period. You may cancel before the price change takes effect.
7.4 Payment Methods
We accept payment via credit card, debit card, and other payment methods as indicated on our website. Payment processing is handled by third-party payment processors such as Stripe and PayPal. You agree to their terms of service when making payments.
7.5 Late Payments and Suspension
Failure to pay fees when due may result in:
- Suspension of Service access
- Suspension of SMS messaging services
- Suspension of access to websites and automations we created for you
- Termination of your account
- Collection efforts for outstanding balances
We will provide at least one notice before suspending services for non-payment. You may cancel your subscription at any time to avoid future charges, even if you have an outstanding balance (though outstanding balances remain due).
8. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal information in accordance with applicable data protection laws.
We comply with:
- British Columbia's Personal Information Protection Act (PIPA)
- Personal Information Protection and Electronic Documents Act (PIPEDA)
- Canada's Anti-Spam Legislation (CASL)
- Canadian Radio-television and Telecommunications Commission (CRTC) regulations
- Telephone Consumer Protection Act (TCPA) for US recipients

By using our Service and opting in to SMS communications, you acknowledge that:
- You have read and understood our Privacy Policy
- You consent to our collection, use, and disclosure of your information as described
- Your mobile phone number will be used only for purposes you explicitly consented to
- You have the right to withdraw consent and opt out at any time without penalty
9. AI-Specific Limitations
9.1 No Warranties on AI Output
AI-generated content may contain inaccuracies, errors, or biases. You acknowledge that:
- AI outputs should be reviewed before use in critical applications
- We do not guarantee accuracy, completeness, or reliability of AI-generated content
- You are responsible for verifying any AI-generated content before relying on it
- AI models may produce unexpected or unintended results
- AI technology is continuously evolving and may change over time
9.2 Professional Advice Disclaimer
The Service does not provide professional advice (legal, medical, financial, etc.). AI-generated content should not be considered a substitute for professional consultation.
SMS messages may contain AI-generated content and should be reviewed before relying on them for critical decisions.
9.3 AI Training and Data Use
Your Input may be used to train and improve our AI models unless you opt out in your account settings. This includes:
- Content you provide to AI tools
- Interactions with AI agents and chatbots
- Feedback and corrections you provide
You can opt out of AI training data usage at any time in your account settings without affecting your ability to use the Service.
10. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or SMS communications
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for any losses resulting from unauthorized access to your account or data
- We are not liable for SMS delivery failures caused by mobile carriers, network issues, or device limitations
- We are not liable for inaccuracies, errors, or unintended consequences of AI-generated content
- We are not liable for decisions you make based on AI outputs or SMS messages
- We are not liable for any business losses, lost revenue, or damages resulting from cancellation and loss of access to websites, automations, or systems we created
Specific SMS Limitations:
We are not liable for:
- Delayed or failed message delivery due to carrier or network issues
- Messages sent to wrong numbers due to user error in providing contact information
- Costs incurred from your mobile carrier for message and data rates
- Unauthorized access to your mobile device or messages
- Actions taken based on SMS message content
Jurisdictional Limitations:
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless Lucenture AI, its affiliates, SMS service providers, and their respective officers, directors, and employees from any claims, damages, expenses, or losses arising from:
- Your use of the Service or SMS communications
- Violation of these Terms
- Violation of any law or regulation including telecommunications laws
- Violation of any third-party rights
- Content you submit, generate, or transmit through the Service
- Unauthorized use of your account due to your failure to maintain security
- False or misleading information you provide during registration or opt-in
- Any use of websites, automations, or systems we created for you during your subscription period
12. Service Availability
We strive to provide reliable service but do not guarantee uninterrupted access. We may suspend or discontinue the Service or SMS communications at any time for maintenance, updates, regulatory compliance, or other reasons.
We may utilize third-party infrastructure providers for:
- Website hosting and cloud computing
- AI processing and model deployment
- SMS message delivery and telecommunications services
- Payment processing
- Analytics and monitoring
Lucenture AI is not responsible for Service interruptions caused by the failure of these third-party providers, including:
- SMS service providers (Twilio, GoHighLevel, etc.)
- Mobile carrier networks
- Cloud infrastructure providers (AWS, Google Cloud, etc.)
- Internet service disruptions
We will make reasonable efforts to notify you of planned maintenance via email and, if applicable, SMS notification.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending email notification of significant changes
- For users opted in to SMS, sending text message notification of material changes affecting SMS services
Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you may discontinue use and cancel your account as outlined in Section 14.1.
Changes to SMS-specific terms will comply with CASL and CRTC notification requirements.
14. Termination, Cancellation Rights, and Asset Buyout
14.1 Termination by You - Cancel Anytime
You may cancel your subscription at any time, for any reason, without early termination penalties or cancellation fees.
You may cancel by:
- Canceling your subscription through your account settings
- Sending written notice to [email protected] with subject "Account Cancellation"
- Contacting us through any available support channel
Upon cancellation:
- Your cancellation takes effect at the end of your current billing period
- You will not be charged for any subsequent billing periods after cancellation
- You retain access to the Service until the end of any period you've already paid for
- All websites, AI automations, integrations, custom configurations, and systems we created for you revert to Lucenture AI ownership and your access will be terminated
- Your data will be retained according to our Privacy Policy retention schedule (90 days, then permanent deletion)
- You will be automatically opted out of email communications within 24 hours
- SMS opt-out is separate - you must opt out using the methods in Section 4.4
No cancellation fees or retention requirements apply.
14.2 Termination by Us
We may terminate your access immediately without notice if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent or illegal activity
- Violate SMS messaging policies or telecommunications regulations
- Fail to pay fees when due (after notice and opportunity to cure)
- Pose a security risk to our systems or other users
- Abuse, harass, or harm other users or our staff
Upon termination by us:
- Your access to the Service will cease immediately
- All websites, automations, and systems we created for you will be deactivated
- You remain liable for any outstanding fees incurred before termination
- Your SMS consent is automatically revoked
- We may retain your data as required by law or for dispute resolution
- You will receive email notification of termination with explanation (unless termination is for security reasons)
Even if we terminate your account, you may re-register in the future if the issues that led to termination have been resolved.
14.3 Effect of Termination
Upon termination by either party:
- Your access to the Service will cease (immediately or at end of billing period)
- All websites, AI automations, integrations, and custom systems we created for you become inaccessible
- You remain liable for any outstanding fees incurred before termination
- Sections that by their nature should survive termination will continue to apply, including:
- Intellectual Property Rights (Section 6)
- Payment obligations for services already rendered (Section 7.1)
- Limitation of Liability (Section 10)
- Indemnification (Section 11)
- Governing Law and Dispute Resolution (Section 15)
- SMS opt-out records (maintained indefinitely)
Your data will be handled according to our Privacy Policy data retention schedule:
- Active data retained for 90 days after termination
- After 90 days, permanent deletion except where required by law
- SMS opt-out records maintained indefinitely to honor your preferences
- You may request data export before deletion by contacting [email protected]
14.4 Asset Buyout Program
If you wish to retain ownership of the website, automations, and systems we created for you after cancellation, we offer the following buyout options:
Website and Automation Buyout:
- One-time fee for complete ownership transfer of your website, AI automations, integrations, and custom configurations
- Includes full code transfer, design files, and documentation
- You receive complete ownership and intellectual property rights to the purchased assets
- Pricing is determined based on the complexity and scope of services provided
- Contact [email protected] for a custom buyout quote before canceling your subscription
Domain Transfer Service:
- Separate one-time fee for domain transfer and DNS configuration
- We transfer full administrative access of your domain to you
- Includes setup instructions and technical support during transfer
- Does not include website hosting (you must arrange separate hosting)
- Contact [email protected] for domain transfer pricing and procedures
Important Notes:
- Buyout must be arranged and paid for before canceling your subscription
- Once your subscription ends, buyout options may no longer be available
- Buyout fees are in addition to any subscription fees paid
- Domain transfer and website buyout are separate services with separate fees
- We recommend discussing buyout options with our team at least 14 days before your intended cancellation date

15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
For SMS communications, applicable federal telecommunications laws including CASL and CRTC regulations also govern.
15.2 Jurisdiction
You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia with respect to any dispute arising out of or related to these Terms or the Service.
15.3 Dispute Resolution
Before initiating any legal proceedings, the parties agree to:
- Attempt to resolve disputes through good faith negotiations
- Provide written notice of the dispute with a 30-day resolution period
- Engage in mediation if negotiations fail
If resolution fails, disputes may be brought before the courts of British Columbia.
15.4 Regulatory Complaints
For complaints related to SMS communications or privacy practices, you may file a complaint with:

Filing a regulatory complaint does not waive your right to pursue legal remedies.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lucenture AI regarding the Service and supersede all prior agreements, understandings, and communications.
Asset Ownership Clarity: You understand and agree that upon cancellation, all websites, automations, integrations, and custom systems we created for you remain our property unless purchased through the buyout program outlined in Section 14.4.
16.2 Severability
If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.
16.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Lucenture AI.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including to affiliates, successors, or acquirers of our business.
In the event of assignment, your SMS consent and opt-out preferences will be transferred to the assignee, and you retain the right to cancel or opt out at any time.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Natural disasters, pandemics etc.
- War, terrorism, or civil unrest
- Government actions or regulatory changes
- Telecommunications or internet service provider failures
- Mobile carrier network outages
- Cyber attacks or security incidents
During force majeure events, we will make reasonable efforts to restore Service as quickly as possible. You may cancel your subscription during extended force majeure events.
16.6 Notices
All notices to you will be sent to the email address or mobile phone number associated with your account. Notices sent via email are effective when sent. Notices sent via SMS are effective when delivered to your mobile carrier.

16.7 Language
These Terms are written in English. Any translation provided is for convenience only. In the event of conflict between English and translated versions, the English version prevails.
16.8 Electronic Communications
You consent to receive communications from us electronically, including via email and SMS (if opted in). Electronic communications satisfy any legal requirement that communications be in writing.
17. Third-Party Services and Links
17.1 Third-Party Service Providers
We use third-party service providers for:
- SMS delivery (Twilio, GoHighLevel, etc.)
- Payment processing (Stripe, PayPal, etc.)
- Cloud hosting (AWS, Google Cloud, etc.)
- Analytics and monitoring
- Domain registration and DNS management
